Terms of service

These Terms of Service ("Terms") constitute a binding legal agreement between you ("Client") and Experts4, governing your use of our website, platform, and related professional services.

By purchasing hours, submitting a project request, or otherwise engaging with our services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

If you do not agree with any provision contained herein, you must immediately discontinue use of our services.

1. Service Description

Experts4 provides professional Shopify development, customization, and theme modification services through our development personnel, which may include employees and independent contractors..

We work directly with Shopify store owners and agencies to implement technical enhancements, code improvements, and feature adjustments to Shopify themes and stores.

Our services are delivered on an hourly basis. Hours are purchased through the Experts4 website and allocated to approved projects once all prerequisites are met.

2. Right to Refuse Service

Experts4 reserves the absolute and unconditional right to refuse or discontinue service at any time, for any reason or no reason, without prior notice and without obligation to explain such a decision.

This may include declining new projects or terminating cooperation entirely.

Such decisions are made at Experts4's sole discretion and are final and non-negotiable.

If Experts4 exercises its right to terminate or discontinue service after payment has been received and hours allocated, Experts4 will refund the unused portion of the allocated hours (or hours remaining in the Client's balance) unless the termination is due to Client's breach of these Terms, including but not limited to abuse, illegal content, or failure to meet the requirements of Section 4.

3. Project Submission and Communication Protocols

All project requests must be submitted exclusively through the Experts4 website.

We do not accept or process projects via informal channels such as personal email, messaging platforms, or phone calls.

All communication related to project scope, progress, revisions, and delivery must occur through the Experts4 platform or via experts4@nexusmedia-ua.com.

Communication outside of these official channels (including private email, phone, or messaging apps) is not recognized and has no legal effect.

You acknowledge and agree that information you provide for project evaluation, estimation, and execution may be shared with contractors or subcontractors engaged by Experts4 to complete the project.

Confidentiality obligations bind all such parties.

4. Mandatory Client Requirements

4.1 Collaborator Access

To perform work on your Shopify store, Experts4 requires Shopify Collaborator access with all permissions necessary to complete the defined scope of work.

Access must be granted at the beginning of cooperation, before project estimation or development begins.

You are responsible for ensuring that collaborator permissions are adequate for the defined work. Insufficient permissions may delay the project or prevent completion of certain tasks.

Collaborator access is required not only for implementation but also for initial code and configuration review to prepare an accurate time estimate.

4.2 Backup Requirements

Before any development work begins, you must ensure a complete backup of your current active theme.

Backup requirements can be fulfilled in one of the following ways:

  • Creating a duplicate copy of your active theme in Shopify, or
  • Installing and activating the ThemeWatch app for automated backup monitoring and management.

ThemeWatch is provided free of charge only while Experts4 is actively working on your project.

Experts4 will not begin work until adequate backup measures have been verified.

While our developers may create temporary copies during development, you remain solely responsible for maintaining your own backups and retaining them throughout the project duration.

Experts4 bears no responsibility or liability for data loss, theme corruption, or store malfunction arising from missing or deleted backups, nor for any damages resulting from the client's failure to maintain proper backup practices.

5. Prerequisites for Project Commencement

No development work will begin until all of the following conditions are met:

  1. Approved Scope of Work: You must clearly define, document, and explicitly approve the project scope through the Experts4 platform.
  2. Payment: The required service hours have been purchased and successfully allocated to the project.
  3. Collaborator Access: Valid collaborator access must be provided with the necessary permissions.
  4. Theme Backup: A proper theme backup must be in place as specified in Section 4.2
  5. Design Approval: If the project involves visual changes, mockups, or designs, these changes must be explicitly approved before development begins.

Work will not commence until all five conditions are satisfied. Any delays in meeting these requirements will delay the project start date accordingly.

6. Payment Terms and Hour Management

6.1 Purchasing Hours

All Experts4 services are billed per hour. Hours must be purchased through the Experts4 website before they can be allocated to projects. Purchased hours are added to your account balance and remain available for allocation to approved projects.

6.2 Non-Refundable and Non-Expiring Hours

All purchased hours are non-refundable and do not expire over time. Once added to your account, they can be used for any current or future project, regardless of when purchased.

6.3 Project Payment and Hour Allocation

When a project is approved and ready to commence:

  • A "Pay and Start Work" button will appear in your client dashboard for the specific project
  • Clicking the “Pay and Start Work” button constitutes the Client's final and irrevocable authorization to allocate the estimated hours, confirms the Client's acceptance of the Approved Scope of Work, and commits the project to the terms of these Terms.
  • The project status changes to "In Progress"

After hours have been allocated to a project, they cannot be refunded or reallocated except as provided under Section 10 (Refunds and Cancellations).

6.4 No Work Without Payment

Experts4 strictly prohibits work on any project before full payment has been received and hours successfully allocated. No exceptions are made.

7. Project Capacity Limitation

Each client may have only one active project in progress at any given time.

This ensures focused attention, consistent communication, and predictable delivery.

Once a project is completed and closed, you may immediately submit and begin work on a new project.

8. Project Estimation and Scope Changes

Experts4 provides a fixed-price quote for each project, which is determined based on the information available and the initial code review. This quote represents the final cost to the Client. However, during execution, the project may encounter complexities that were not evident during the estimation phase. These factors include:

  • Additional findings after accessing the store code;
  • Conflicts with customizations or third-party apps;
  • Technical limitations or platform updates.

These factors may trigger Experts4's right to cancel the project and issue a full refund, as detailed in Section 11.3.

Once a project has started, its scope is fixed. Any new or modified requirements must be submitted as a new project with its own estimate and allocated hours. Minor adjustments to the original scope, if approved by Experts4, will be treated as additional work and allocated additional hours from the Client's balance.

9. Project Timeline and Delivery

9.1 Work Commencement

Work begins immediately upon all prerequisites in Section 5 being met and payment being confirmed.

9.2 Delivery Schedule

Projects are completed as quickly as possible, depending on complexity and workload.

As a general guideline, Experts4 may allocate up to one hour per business day per estimated project hour (e.g., a 10-hour project may take up to 10 business days).

This guideline is not a guaranteed delivery date but a conservative planning timeframe.

10. Project Completion, Acceptance, and Cancellations

10.1 Project Completion and Acceptance

A project is considered complete when all agreed deliverables have been implemented and delivered for review.

After delivery, the Client enters the review period (the 7-Day Correction Period).


During the 7-Day Correction Period, the Client can:

  1. Accept the work and manually close the project.
  2. Request fixes or updates under the title of "100% Satisfaction Warranty." This warranty is strictly limited to addressing bugs or non-conformance issues that prevent the delivered work from meeting the specifications documented in the Approved Scope of Work. Experts4 accepts an unlimited number of revision requests only if they are strictly within the Approved Scope and submitted during the 7-Day Correction Period.

If the client does not raise concerns within seven (7) calendar days after delivery, the project is automatically marked as Closed and deemed entirely accepted.

Once a project is closed — manually or automatically — acceptance is final and irrevocable, and no further claims or disputes will be accepted.

10.2 Project Cancellation

If the client chooses to cancel a project after work has begun for any reason other than our inability to complete it:

  • The project will be cancelled
  • All changes will be rolled back to the original theme state
  • Hours allocated to the project will not be refunded
  • Any remaining hours in your balance will remain available for future projects

While Experts4 will undertake reasonable efforts to roll back changes, the Client accepts all risks associated with the rollback process, and Experts4 shall not be liable for any unintended consequences, data loss, or errors resulting from the rollback.

10.3. Agency Responsibility and Indemnification

Where the Client is an agency or third party acting on behalf of a store owner ("Agency Client"), the Agency Client warrants that it is an experienced professional and accepts full responsibility for the due diligence, communication, and management of its end-client's expectations and requirements. Acceptance of the work by the Agency Client constitutes a full and final release of Experts4 from any liability related to dissatisfaction, claims, or losses incurred by the Agency Client's end-store owner. The Agency Client agrees to indemnify and hold harmless Experts4 from any third-party claims arising from the delivered work once acceptance is final.

11. Refund Policy

11.1 General Policy

Purchased hours are non-refundable. However, Experts4 will issue refunds in the following specific circumstances:

11.2 Pre-Work Refunds

If work has not yet commenced on a project and hours have not been allocated, you may request to cancel the project submission. In this case, hours remain in your account for future use.

11.3 Inability to Complete

If, during the course of working on your project, Experts4 determines, in its sole professional discretion, that we cannot deliver the project due to technical infeasibility, undisclosed platform limitations, severe incompatibility with existing code or apps, or a fundamental difference between the Approved Scope and the store's reality, we will:

  • Immediately notify you of the situation
  • Provide a full refund of all hours allocated to that specific project
  • Restore your theme to its original state by removing all changes made during the project
  • Return any unused hours to your account balance

This is the only circumstance under which hours allocated to an approved project will be refunded.

11.4 Post-Acceptance Refunds

No refunds will be issued after you have accepted and closed a project. Acceptance of work is final and irrevocable.

12. Warranty and Post-Completion Support

After project delivery and closure, Experts4 does not provide any post-project warranty or ongoing support.

Any new fixes, adjustments, or feature requests after acceptance are treated as new projects and require additional hours.

Experts4 does not guarantee compatibility of delivered work with future Shopify updates, new apps, or third-party scripts.

13. Disclaimer of Limitation of Liability

13.1 Service "As Is"

Experts4 provides services "as is" and without warranties of any kind, express or implied.

By using our Services, you acknowledge and agree that:

  • Experts4 is not responsible for any store malfunction, downtime, or errors occurring during or after project implementation;
  • Experts4 is not liable for data loss, theme corruption, configuration issues, or compatibility conflicts caused by Shopify updates or third-party apps;
  • Experts4 is not liable for any indirect, incidental, or consequential damages, including lost profits, business interruption, or reputation loss;
  • Experts4 is not responsible for any issues arising during or after the work process, even where all reasonable precautions were taken.

13.2 Best Efforts

While we disclaim liability for problems and issues, we commit to exercising reasonable professional care and skill in delivering our services. We will make all reasonable efforts to avoid problems, complications, or difficulties during project execution.

13.3 Maximum Liability

In any event, our total cumulative liability to you for any claims arising out of or related to our services shall not exceed the lesser of (a) the total amount you paid to Experts4 for the specific project giving rise to the claim or (b) $1000.

13.4 Client Responsibility

You acknowledge that: 

  • You are solely responsible for maintaining adequate backups of your store and theme
  • You are responsible for testing all implementations in a staging or development environment, where available
  • You assume all risks associated with changes to your live store
  • You are responsible for any decisions to implement changes without adequate testing

The Client assumes full responsibility for using the delivered work.

These limitations apply to the maximum extent permitted by law.

14. Subcontractors

Experts4 may engage third-party contractors or specialists to perform portions of the project.

Client information may be shared with such contractors only to the extent necessary to perform the agreed work, and confidentiality obligations bind all.

15. Anti-Solicitation and Non-Circumvention

The Client acknowledges that Experts4 expends substantial resources in training and securing highly qualified personnel, including employees and independent contractors ("Personnel"). The Client agrees that during the term of their engagement with Experts4 and for a period of twenty-four (24) months following the termination or expiration of the last project, the Client will not directly or indirectly solicit, hire, or engage any Personnel that Experts4 has introduced to the Client for the purpose of performing services similar to those provided by Experts4.

Any attempt to circumvent these Terms by engaging Personnel directly constitutes a material breach. If the Client breaches this clause, the Client agrees to pay Experts4 $15,000 (Fifteen Thousand US Dollars) as liquidated damages, which the parties agree is a reasonable estimate of the damages Experts4 would suffer.

16. Intellectual Property

After full payment is received, all code, designs, and deliverables created by Experts4 become the Client's property.

Experts4 retains ownership of generic development tools, snippets, and reusable code that are not specific to the Client's store.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed according to the laws of the Republic of Poland without regard to conflict of law principles.

Any disputes arising from these Terms or our services should first be addressed through direct communication between the Client and Experts4, with both parties making reasonable efforts to reach an amicable resolution.

All unresolved disputes shall be resolved exclusively through final and binding arbitration administered by the Court of Arbitration at the Polish Chamber of Commerce in Warsaw, Poland

18. Limitation on Time to File Claims

Where permitted by law, you and Experts4 agree that any cause of action or claim arising out of or in connection with these Terms or the Services provided must be commenced within one (1) year after the cause of action or claim accrues. Failure to assert any such cause of action or claim within this one-year period shall result in the permanent bar of any such claim.

19. Indemnification

You agree to indemnify and hold harmless Experts4, its employees, contractors, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of our services
  • Content you provide or store on your platform
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any actions taken on your store by you or authorized users after project completion

20. Confidentiality

Both parties agree to maintain the confidentiality of sensitive business information shared during the course of the engagement. This includes:

  • Business strategies and plans
  • Financial information
  • Customer data
  • Proprietary processes and methodologies

Each party shall use such information solely for the purpose of fulfilling the project and shall not disclose it to third parties except as required by law.

This obligation survives termination of the service relationship.

21. Entire Agreement

These Terms constitute the entire agreement between you and Experts4 regarding our services and supersede all prior agreements, communications, and understandings, whether written or oral.

22. Change of These Terms

Experts4 may modify these Terms at any time without prior notice.

The latest version will always be available at https://experts4.myshopify.com/pages/terms.

Continued use of our Services after any modifications constitutes your acceptance of the revised Terms.
